Nexxen Artificial Intelligence Addendum
Last Updated September 3, 2026
This Nexxen Artificial Intelligence Addendum (the “AI Addendum”) to the General Terms supplements the Data Protection Agreement/Schedule, if any, between the Parties (the “DPA”) and/or any services agreement, Insertion Order, or other applicable agreement between the Parties (collectively, the “Agreement”). The Parties to the Agreement are referred to herein individually as a “Party” and collectively as the “Parties.” References to “Nexxen” shall mean the Nexxen entity identified in the Agreement and “Client” means the counterparty identified in the Agreement and any other third party that utilizes, accesses, or has access to the Platform, Services, the AI Features, or any tools or functionality made available by Nexxen in connection therewith (including AI-supporting tools), or that is authorized by such counterparty or its users to do so, whether directly or through any users, accounts, credentials, APIs, integrations, or External Agents. This AI Addendum governs Client’s access to and use of Nexxen’s AI-powered, machine learning, automation, optimization, analytics, reporting, recommendation, agentic, generative AI, and interoperability features made available through Nexxen’s platform and services (the “Platform”), including in-platform agents, AI-assisted reporting and visualization, troubleshooting, campaign QA, audience creation, media planning, research, optimization, APIs, and AI-enabled functionality made available through MCP, A2A, AdCP, AAMP, or other interoperability protocols (collectively, the “AI Features”). In the event of any conflict, the DPA shall control with respect to the Processing of Personal Data. To the extent of any conflict between this AI Addendum and the DPA (or any other agreement between the parties) specifically concerning the use, development, training, or processing of data via artificial intelligence or machine learning technologies, the terms of this AI Addendum shall govern. In all other respects, the DPA shall control.
Capitalized terms used but not defined herein shall have the meanings ascribed to such terms in the Agreement. For purposes of this AI Addendum, “Client Data” means any data provided by or on behalf of Client to Nexxen through the Platform, including without limitation campaign data, audience data, creative assets, prompts, briefs, instructions, configuration settings, parameters, files, and performance metrics. “Platform Data” means data generated, collected, observed, or derived through operation of the Platform or performance of the services, including without limitation bid requests, bid responses, auction data, delivery data, pacing data, spend data, impression data, engagement data, conversion data, log data, diagnostic data, optimization signals, and performance metrics, whether associated with Client’s campaigns or aggregated across campaigns. The same information may constitute both Client Data and Platform Data, but such classification does not transfer ownership of Client Data to Nexxen or limit Nexxen’s rights to use Platform Data as permitted under the Agreement and this AI Addendum, and Nexxen’s right to use Client Data shall remain subject to the Agreement and this AI Addendum. “Input” means prompts, briefs, instructions, configurations, parameters, data, files, or other materials submitted by or on behalf of Client to the AI Features. “Output” means responses, reports, visualizations, recommendations, audience segments, media plans, troubleshooting results, QA results, optimizations, proposals, or other results generated by the AI Features from Client Input. “External Agent” means any AI agent, assistant, application, tool, or workflow operated by or on behalf of Client or authorized by Client or its users that accesses or uses the Platform or AI Features.
Nexxen may also generate, use, publish, and distribute de-identified or aggregated statistical analyses, market insights, benchmarks, model signals, and performance learnings derived from Platform Data, provided that such materials do not identify Client as the source of the information or identify any individual end user.
Client Responsibility. Client will ensure that Client’s use of the AI Features, External Agents, Input, Output, and any Actions is lawful and appropriate for Client’s intended use case and does not violate any applicable law, industry self-regulatory standards (including without limitation standards promulgated by the Interactive Advertising Bureau, the Digital Advertising Alliance, and the Network Advertising Initiative), or Intellectual Property Rights or other rights of any third party. Client represents and warrants that Client has all rights, licenses, and permissions necessary to provide all Input to Nexxen, including without limitation any consents required under applicable Data Protection Laws for the Processing of Personal Data through the AI Features.
Client is responsible for all activity conducted through Client’s accounts, credentials, MCPs, APIs, External Agents, integrations, and automated workflows. Any instruction, decisions, approval, submission, configuration, campaign action, inventory action, spend authorization, targeting selection, bid, pricing rule, floor price, deal term, data activation, measurement setting, negotiation step, commitment, or other action made through Client’s account, credentials, permissions, approvals, systems, or configured External Agent workflows will be deemed authorized by Client (each, an “Action”).
Prohibited Data and Use Cases. Client shall not use the AI Features for the following prohibited uses (“Prohibited Uses”): (a) to submit to the AI Features any data that is prohibited under the Agreement or applicable law, including any Excluded Data or other information that Client is prohibited from providing or making available to Nexxen in connection with the Services; and (b) to use the AI Features for audience targeting, optimization, or delivery of advertisements in connection with housing, employment, credit, insurance, or other categories subject to anti-discrimination requirements under applicable law unless Client is legally permitted to do so and has implemented measures reasonably designed to support compliance with all such requirements. For clarity, the foregoing restriction applies to data submitted by or on behalf of Client and does not prohibit Nexxen from making available audience, contextual, research, reporting, measurement, taxonomy, panel-based, or other platform-derived insights or segments where Nexxen is permitted to do so under the Agreement and applicable law.
Client shall indemnify, defend, and hold harmless Nexxen from and against any third party claims, actions, investigations, fines, settlements, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of, relating to, or in connection with any Prohibited Use.
